License Usage Terms

Purpose

These License Usage Terms govern how Tanium software licenses are measured, tracked, and reported, and are incorporated into any quote, schedule, order form or license agreement for Tanium products that specifically references these terms (“Agreement”). These terms apply to all Tanium products and services, including on-premises deployments and Tanium Cloud deployments. Capitalized terms used but not defined herein have the meanings ascribed to them in the Agreement.

Definitions

Endpoint” or “Managed OS Instance” means a physical or virtual hardware device where Tanium software can be installed and which is capable of processing data. Managed OS Instances include: mobile/smart phones, diskless workstations, personal computer workstations, networked computer workstations, homeworker/teleworker systems, home-based systems, file servers, print servers, email servers, internet gateway devices, storage area network servers, terminal servers, and portable workstations connected or connecting to a server or network. In the case of a virtual system, the hypervisor is considered a single Endpoint if the Service is installed at the hypervisor level.

Ephemeral Endpoint” means an Endpoint whose Total Uptime is 24 hours or less.

OT Device” means a device used in an industrial environment that can monitor or control physical processes or machinery, e.g., programmable logic controllers (PLCs) or human-machine interfaces (HMIs).

OT Satellite” means an Endpoint selected by Customer to monitor OT Devices that are present in the same network segment as the Endpoint, e.g., subnet or virtual LAN (VLAN).

Standard Endpoint” means an Endpoint whose Total Uptime exceeds 24 hours at any time during the Subscription Term.

Tanium Console” means the Tanium software user interface through which Customer is able to locate and manage Endpoints.

Total Uptime” means the duration between the date and time of an Endpoint’s initial registration with the Tanium Console and the Endpoint’s most recent “Last Seen” date and time, as reported in the Tanium Console.

Endpoint Licensing

Software Licensing. Tanium products are generally licensed on a per Endpoint or per OT Satellite basis, and certain offerings may also be subject to fees based on usage. Please reference Tanium’s Quote or Schedule for specific quantities and restrictions. 

Single Instance. Unless otherwise set forth in a Schedule, Tanium Cloud entitles Customer to a single service instance by default. Tanium recommends a single service instance in most cases in order to simplify usage and reporting of Customer’s endpoint environment. Customer may purchase additional instances.

AI Credits

AI Features. Tanium makes certain AI features available as part of Tanium Cloud in supported regions. One of these features, Tanium Atlas, is subject to additional fees and may require the purchase of AI Credits. For more information on Tanium Atlas, please see: AtlasHub.

Free Credits. Starting on August 3, 2026, each Customer environment of Tanium Cloud is enabled with a certain number of AI Credits per calendar month for no extra charge (“Free Credits”). The Free Credits will be set forth in a Schedule and will expire on the earlier of (i) the expiration of Customer’s Subscription Term or (ii) June 30, 2027. Free Credits are based on Customer’s annual spend on Tanium software and may increase in the event Customer makes additional software purchases. Free Credits reset at the start of each calendar month and do not roll over to subsequent months. Beyond these Free Credits, Customer may purchase AI Credits in order to engage in additional use of Tanium Atlas each month. 

AI Credit Purchase and Expiration. AI Credits may be purchased in increments of 10,000 per month, with partial months pro-rated based on the date of purchase. Purchased AI Credits are in addition to (not comprehensive of) the Free Credits.  Purchased AI Credits reset at the start of each calendar month and do not roll over to subsequent months. AI Credits are non-cancellable and non-refundable.  Purchased AI Credits will expire on the earlier of (i) the expiration of Customer’s Subscription Term or (ii) June 30, 2027.

Usage. All AI Credits (free and purchased) will be consumed by Customer’s use of Tanium Atlas. The rate of use is dependent on many factors, including but not limited to the complexity of the task and the size of Customer’s environment. Customer may track AI Credit usage in the usage dashboard within the Tanium Console.

AI Credit Allocation. AI Credits (free and purchased) are specific to each separate instance of Tanium Cloud and cannot be shared, reallocated, or transferred between Tanium Cloud instances.  When purchasing AI Credits, Customer may select the allocation of purchased AI Credits across its Tanium Cloud instances.
